1. Agreement to Terms

By accessing or using the services of HSW Pro - High Solutions Web ("HSW Pro", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services.

2. Services

HSW Pro provides professional web development, mobile application development, custom software development, digital marketing, AI solutions, and IT outsourcing services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate written proposal and service agreement signed by both parties.

3. Payment Terms

Standard payment terms are 50% deposit upon project commencement and 50% upon project completion. For projects exceeding €10,000, milestone-based payment schedules may be agreed in writing. All invoices are due within 14 days of issue unless otherwise agreed. Late payment may result in work suspension.

4. Intellectual Property

Upon full payment of all agreed fees, all bespoke work product created specifically for the client transfers to the client. HSW Pro retains the right to display the completed work in its portfolio unless the client requests otherwise in writing. Open-source components used in development retain their respective licences. HSW Pro's proprietary frameworks, tools, and methodologies remain the property of HSW Pro.

5. Client Responsibilities

Clients are responsible for providing timely feedback, required content, brand assets, and access credentials as agreed in the project plan. Delays caused by client inaction may affect delivery timelines and may result in additional charges if they cause significant project disruption.

6. Limitation of Liability

HSW Pro's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. We are not liable for indirect, consequential, or incidental damages including loss of revenue, data, or business opportunities.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. This obligation survives the termination of any service agreement for a period of three years.

8. Governing Law

These terms are governed by applicable EU laws. Any disputes shall be subject to the exclusive jurisdiction of competent EU courts.

9. Changes to Terms

We reserve the right to update these terms at any time. Continued use of our services following notification of changes constitutes acceptance of the revised terms.
